These Terms of Service set out the basic terms for using this website and working with Brocklesby AI Ltd.

1. About Brocklesby
Brocklesby AI Ltd, trading as Brocklesby, provides practical AI automation services for businesses. Services may include workflow design, automation setup, AI-assisted email systems, follow-up systems, spreadsheet updates, CRM workflows, reporting and related support.
2. Website use
You may use this website to learn about Brocklesby, submit a general enquiry or start a free automation audit. You must not misuse the website, attempt to disrupt it, submit unlawful content or use it to send spam.
3. No upfront setup cost
Brocklesby operates on a no upfront setup cost model for automation projects. Monthly fees begin once the agreed automation has been built, tested and accepted as useful for the scoped workflow.
Each project still needs sensible scoping. Complex projects, multiple automations or higher support requirements may result in a higher monthly fee.
4. Project scoping
Before work begins, Brocklesby may define the intended workflow, tools involved, expected output, approval steps, data access requirements, testing approach and monthly fee.
The first system should be focused on a practical business problem. Additional systems can be scoped separately.
5. Client responsibilities
Clients are responsible for:
- Providing accurate information about their business process
- Providing access to tools or systems where required
- Checking and approving workflows before live use
- Keeping their own login credentials secure
- Making final business decisions where human judgement is required
- Complying with laws and regulations that apply to their own business
6. AI output and human oversight
AI systems can draft, classify, label, summarise and prepare actions. They may make mistakes. For sensitive, high-value or judgement-heavy workflows, human approval should be kept in the process.
Brocklesby does not guarantee that AI output will be perfect, complete or suitable without review.
7. Payments
Monthly fees begin only after the agreed automation has been built, tested and accepted. Recurring monthly payments are collected by Direct Debit. This suits a fixed monthly B2B service and gives one predictable payment on the same date each month.
Billing frequency, price, minimum term, notice period and included support are agreed in writing before billing starts. See section 14 for the standard minimum term and notice period.
If an invoice is not paid when due, Brocklesby may charge interest and compensation on the overdue amount in accordance with the Late Payment of Commercial Debts (Interest) Act 1998, and may suspend services until payment is received.
8. Support and maintenance
Monthly fees may include maintenance, monitoring, small improvements, support, prompt refinements and updates where tools or workflows change. The exact level of support depends on the agreed package.
9. Changes to services
If the client requests a material change to the workflow, tools, volume, logic, integrations or support needs, Brocklesby may need to revise the scope and monthly fee.
10. No guaranteed financial outcome
Brocklesby aims to build useful systems that save time and improve operations. No specific financial result, revenue increase, cost saving or profit outcome is guaranteed.
Figures shown on this site for daily or monthly cost, hours saved and cost per hour of time replaced (including comparisons to employee cost) are typical, illustrative examples for common versions of each automation. They are indicative guides, not promises. Actual time and cost savings depend on your business's specific processes, tools, volume and how the system is used, and will differ from business to business. No specific time saving, cost saving or hourly rate is guaranteed for any individual client.
11. Liability
Nothing in these terms limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation. Subject to that, Brocklesby is not responsible for indirect losses, lost profits, lost revenue, business interruption or losses caused by client misuse, incorrect information, third-party tools or lack of human review.
Subject to the paragraph above, Brocklesby's total liability to a client, whether in contract, tort (including negligence) or otherwise, arising out of or in connection with the services, is limited to the total fees paid by that client to Brocklesby in the twelve months before the event giving rise to the claim.
12. Intellectual property
Brocklesby retains ownership of its general methods, templates, prompts, reusable workflow patterns and know-how. Client-specific data and materials remain the client’s responsibility and property where applicable.
Usage rights for specific automations should be confirmed in the project scope or written agreement.
13. Acceptance of a system
Before any build starts, Brocklesby and the client agree in writing what the system must do to be considered working. These acceptance criteria are recorded in the project scope and are deliberately specific, so that acceptance is a matter of fact rather than opinion.
Billing begins only once the system meets those criteria and the client has accepted it. If the client considers that the system does not meet the agreed criteria, they should say so in writing within 10 working days of it going live, setting out specifically what is not working. Brocklesby will then have a reasonable opportunity to correct it.
If no written objection is raised within that period and the system is in use, the system is treated as accepted and the agreed term and billing begin.
14. Termination
Unless agreed otherwise in writing, an ongoing automation service runs for a minimum initial term of six months, beginning on the date the system is accepted under section 13 and billing starts. After the minimum term the service continues on a rolling basis until either party gives 90 days' written notice.
Larger builds carry larger commitments. Where a system involves substantial upfront build work that Brocklesby absorbs, for example a custom website chatbot, a bespoke recommendation tool or a multi-workflow process automation, a longer minimum term may be agreed. Any term longer than six months is always confirmed in writing in the project scope before any build work begins, so the client knows the commitment before Brocklesby starts and before anything is payable.
If a client ends the agreement before the end of the minimum term, the balance of the monthly fees for the remainder of that term becomes payable, less any costs Brocklesby genuinely saves by no longer providing the service. This reflects a real loss rather than a penalty: because Brocklesby charges no setup fee, the cost of scoping, building and testing the system is absorbed into the monthly price and is only recovered over the term.
Brocklesby may suspend or end services where payment is not made, access is withdrawn, the service is misused or the project becomes unsuitable to operate safely. A client may end the agreement immediately, without further payment, if Brocklesby is in material breach and has not corrected it within 30 days of written notice.
On termination, outstanding fees for services already provided remain payable, access credentials are revoked or returned, and each party's accrued rights are unaffected. Clauses which by their nature should survive termination, including confidentiality, liability and intellectual property, continue to apply.
15. Changes to these terms
These terms may be updated from time to time. The latest version will be posted on this page.
16. Confidentiality
Each party will keep the other's confidential information confidential and use it only for the purposes of the services. This includes business processes, credentials, pricing, customer information and anything a reasonable person would treat as confidential. This obligation does not apply to information that is public through no fault of the receiving party, already lawfully known, or required to be disclosed by law.
17. Data protection
Each party will comply with applicable UK data protection law in connection with the services. Where Brocklesby processes personal data on a client's behalf, it does so in line with the Data Processing Policy and any written instructions agreed in the project scope. The client is responsible for ensuring it has the right to share the data and access it provides.
18. Subcontracting and assignment
Brocklesby may use suitably qualified subcontractors or specialist assistants to help deliver the services, and remains responsible for the work delivered. Neither party may assign these terms to a third party without the other's written consent, except that Brocklesby may assign to a successor of its business.
19. Force majeure
Neither party is liable for delay or failure caused by events beyond its reasonable control, including outages of third-party platforms and tools that a system depends on. The affected party will take reasonable steps to reduce the impact and resume performance.
20. Business clients only
Brocklesby's services are provided to businesses and business operators only, not to consumers. By engaging Brocklesby, the client confirms it is acting in the course of a business.
21. General
The agreed project scope together with these terms form the entire agreement between the parties for the services and replace prior discussions. Changes to an agreed scope must be in writing. If any part of these terms is found unenforceable, the rest continues to apply. A failure to enforce a right is not a waiver of it. These terms do not give any rights to third parties under the Contracts (Rights of Third Parties) Act 1999.
22. Governing law and jurisdiction
These terms and any dispute arising from them are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction, except that Brocklesby may enforce payment obligations in any court with jurisdiction over the client.
